1. Acceptance of Terms

By accessing or using the Miles Coin Platform (“Platform”, “Service”, “we”, “us”, “our”), including by clicking “I Agree” during registration or the acceptance flow, you (“User”, “you”) enter into a binding legal agreement with Miles Coin Platform and agree to be bound by these Terms & Conditions and our Privacy Policy.

You must be at least 18 years of age to use this Platform. By creating an account, you represent and warrant that you are 18 years of age or older and have the legal capacity to enter into this agreement.

If you do not agree to these Terms, do not use the Platform. Continued use of the Platform after any modification to these Terms constitutes your acceptance of the revised Terms.

2. Description of Service

Miles Coin Platform is a fitness activity rewards platform that allows users to connect their Strava accounts, record qualifying physical activities, and earn Credits that may be redeemed for Miles Coin (“MILES”), a utility token on the Solana blockchain. The Platform also operates a Store where MILES tokens may be spent on goods and services offered at the Platform's discretion.

The Platform is provided as-is, free of charge. Features, credit earning rates, conversion rates, store inventory, and challenge rules may change at any time without notice.

3. Physical Activity Liability Disclaimer

PLEASE READ THIS SECTION CAREFULLY. IT LIMITS OUR LIABILITY FOR INJURIES AND HEALTH EVENTS.

Physical exercise is inherently risky and can result in injury, illness, or death. By using the Platform to log and submit physical activities, you voluntarily participate in physical exercise at your own risk.

• Consult a qualified physician or healthcare provider before beginning or changing any exercise program, particularly if you have any pre-existing medical condition, injury, or health concern.
• Miles Coin Platform, its operators, founders, employees, contractors, and affiliates are NOT liable for any injury, illness, death, property damage, or other harm resulting from physical activities you undertake while using this Platform.
• The Platform makes no representation that any activity level, intensity, duration, or type is safe or appropriate for any individual.
• You assume full and sole responsibility for your physical safety and wellbeing during any exercise or physical activity.

4. Strava Integration and Third-Party Services

The Platform integrates with Strava, Inc.'s API under Strava's API Agreement. By connecting your Strava account, you authorize the Platform to access your Strava activity data on your behalf.

• Your Strava data is accessed only with your explicit OAuth authorization.
• Activity data is used solely to verify qualifying effort, award credits, and prevent fraudulent submissions. It is not sold to third parties.
• You may revoke the Platform's access to your Strava account at any time via Strava's connected apps settings or the Platform's Settings page. Revocation stops future data collection; historical records already processed are retained for fraud audit purposes.
• You must also comply with Strava's Terms of Service. Using the Platform to circumvent Strava's terms is prohibited.
• If Strava revokes, restricts, changes, or discontinues its API or your account access, the Platform's functionality may be materially affected. The Platform bears no liability for such third-party changes.

5. Miles Coin Token Risks

MILES COIN IS A UTILITY TOKEN, NOT A SECURITY OR INVESTMENT. READ THIS SECTION CAREFULLY.

• Miles Coin (MILES) is a utility token on the Solana blockchain issued for use within the Platform ecosystem. It is not a security, investment instrument, currency, commodity, or financial product of any kind.
• The value of MILES tokens is not guaranteed, may be zero at any time, and is subject to extreme volatility. You should not acquire or hold MILES tokens with the expectation of profit.
• Blockchain transactions are IRREVERSIBLE. Tokens sent to incorrect wallet addresses cannot be recovered under any circumstances. The Platform is not responsible for tokens lost due to user error.
• The Platform makes no guarantee of token liquidity, exchange listings, future utility, or any secondary market value.
• Holding or receiving MILES tokens does not confer any equity, ownership interest, profit-sharing rights, voting rights, or any other rights in Miles Coin Platform or its operators.
• The Solana blockchain and associated infrastructure may experience downtime, congestion, forks, or other disruptions beyond the Platform's control. The Platform is not liable for delays or failures in token transfers attributable to blockchain conditions.

6. Financial and Investment Disclaimers

Nothing on this Platform, in its documentation, communications, or marketing materials constitutes investment advice, financial advice, trading advice, tax advice, or any other form of professional financial guidance.

• Past credit earning rates are not indicative of future rates. Credit conversion rates, earning parameters, and other platform configurations may change at any time at the Platform's sole discretion.
• You are solely responsible for determining and fulfilling any tax obligations arising from your receipt, holding, transfer, or disposition of MILES tokens in your jurisdiction. Consult a qualified tax professional.
• The Platform does not provide any tax reporting documents. Consult a tax professional for guidance on how digital assets are treated in your jurisdiction.

7. Eligibility and Account Rules

• Age: You must be 18 years of age or older. By registering, you represent this is true. If we discover you are under 18, your account will be immediately terminated and any accrued credits or tokens forfeited.
• One account per person: Each individual may maintain only one account. Creating multiple accounts to circumvent credit caps, daily limits, or other restrictions is strictly prohibited and will result in permanent ban of all associated accounts.
• Account security: You are solely responsible for maintaining the confidentiality of your credentials. You agree to notify us immediately at miles@miles-coin.com upon any unauthorized access to your account.
• No sharing: You may not share your account with others or allow others to access your account to earn credits on your behalf.
• Geographic restrictions: The Platform is intended for personal, non-commercial use. You are responsible for compliance with local laws in your jurisdiction. We make no representation that the Platform is available or legal in any specific location.

8. Anti-Fraud and Fair Use

The integrity of the Platform depends on all users submitting legitimate activity data. The following are strictly prohibited:

• Submitting false, fabricated, replayed, modified, or otherwise manipulated activity data to earn credits.
• Using automated tools, bots, scripts, or devices to artificially generate or inflate activity data.
• Using GPS spoofing, activity simulation software, or any technical means to falsify location or movement data.
• Exploiting bugs, vulnerabilities, or unintended behaviors in the Platform to gain credits unfairly.

The Platform employs automated fraud detection. Detected fraud will result in: (a) immediate account suspension or permanent termination, (b) forfeiture of all credits, pending tokens, and accrued rewards, and (c) may be reported to applicable law enforcement or Strava. You grant the Platform the right to audit, hold, or reject any activity data at its sole discretion.

9. Platform Changes and Termination

• The Platform reserves the right to modify credit earning rates, conversion rates, daily caps, store items, challenge rules, or any other platform parameter at any time, with or without notice.
• The Platform may suspend or permanently terminate your account for any violation of these Terms, suspected fraudulent activity, or for any other reason at its sole discretion.
• The Platform may discontinue, modify, or restrict access to the Service at any time, with or without notice.
• Upon account termination, all platform credits are forfeited. MILES tokens already transferred to your Solana wallet remain in your possession and are not affected by account termination.

10. Disclaimer of Warranties

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR UNINTERRUPTED, ERROR-FREE OPERATION. WE DO NOT WARRANT THAT THE SERVICE WILL MEET YOUR REQUIREMENTS OR THAT ANY ERRORS WILL BE CORRECTED.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, MILES COIN PLATFORM AND ITS OPERATORS, FOUNDERS, EMPLOYEES, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL CUMULATIVE LIABILITY TO YOU FOR ANY CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED ZERO DOLLARS (USD $0.00), AS THE SERVICE IS PROVIDED FREE OF CHARGE.

12. Indemnification

You agree to defend, indemnify, and hold harmless Miles Coin Platform and its operators, founders, officers, employees, contractors, and affiliates from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from: (a) your violation of these Terms; (b) your use of the Service; (c) your submission of false or fraudulent activity data; (d) your violation of any applicable law or regulation; or (e) your violation of any third party's rights, including Strava's terms of service.

13. Dispute Resolution and Governing Law

These Terms are governed by and construed in accordance with the laws of the State of California, United States, without regard to its conflict of law principles.

Binding Arbitration: Any dispute, claim, or controversy arising out of or relating to these Terms or the Service shall be resolved by binding arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules, rather than in court, except that you may bring a claim in small claims court if it qualifies.

No Class Actions: You agree to resolve disputes individually and waive any right to bring or participate in a class action, collective action, or representative action against Miles Coin Platform.

Exception: Nothing in this section prevents either party from seeking injunctive or other equitable relief in court for violations of intellectual property rights or fraud.

14. Intellectual Property

The Platform and its original content, features, and functionality are and will remain the exclusive property of Miles Coin Platform and its licensors. You may not reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any of the material on the Platform without our prior written consent.

15. Changes to These Terms

We reserve the right to update these Terms at any time. When we do, we will update the version identifier (e.g., from v1.0 to v1.1) and the effective date. You will be prompted to review and accept the updated Terms the next time you access the Platform after changes take effect. Continued use constitutes acceptance.

For material changes, we will make reasonable efforts to notify you via the email associated with your account.

Nothing in these Terms creates an employment, partnership, joint venture, agency, franchise, or sales representative relationship between you and Miles Coin Platform.
